GUROO APPLIED LEARNING — Effective Date: January 2026

These Terms of Use ("Terms") govern access to and use of the Guroo Applied Learning platform, applications, and related services (collectively, the "Platform" or "Services") operated by Guroo AI, Inc. ("Guroo," "we," "us," or "our").

The Platform includes:

• AI-driven and adaptive online course delivery and learning management;
• Course content hosting, enrollment, and progress tracking;
• Self-paced learning modules with assessments, quizzes, and assignments;
• Certificate of completion and credential programs;
• Learner analytics, personalized recommendations, and AI-assisted feedback.

These Terms apply to:

• Course Providers, Instructors, and Partner Organizations ("Course Provider Users"), and
• Learners or Students ("Learner Users") taking courses on the Platform.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Important Notice

THE PLATFORM PROVIDES CERTIFICATES OF COMPLETION, NOT OFFICIAL ACADEMIC CREDENTIALS OR DEGREES.

Guroo Applied Learning is an online learning platform that delivers self-paced courses from Course Providers. Certificates of completion issued by Guroo or Course Providers are not official academic credits, degrees, or certifications and may not be recognized by educational institutions or employers unless explicitly stated.

The Platform does not provide formal degrees, official college credits, professional licenses, or accredited certifications. Learner performance, course completion, and any credential issuance remain the responsibility of Course Providers and learners' educational goals.

2. Definitions

"Course Provider" – A university, organization, instructor, or entity that creates, uploads, or provides course content on the Platform.

"Learner" – An individual who enrolls in and completes courses on the Platform.

"Content" – Course materials, videos, lecture notes, readings, assignments, quizzes, transcripts, and other course-related information uploaded by Course Providers.

"AI Outputs" – Learning recommendations, progress summaries, personalized feedback, suggested courses, or other outputs generated using artificial intelligence.

3. Eligibility and Accounts

3.1 Course Provider Users

You represent that you:

• Are authorized to create and provide course content;
• Will provide accurate, lawful, and non-infringing course materials;
• Will not upload content that violates intellectual property rights, is defamatory, or is illegal;
• Agree to comply with the Course Provider Agreement and these Terms.

3.2 Learner Users

You represent that you:

• Are at least 13 years old (or older if required by local law);
• If under 18, have obtained parent or legal guardian consent to use the Platform;
• Are using the Platform for personal learning and skill development;
• Will not use courses for unauthorized commercial purposes.

Learners may enroll in courses, track progress, and earn certificates of completion where offered.

4. Description of Services

Guroo Applied Learning provides:

• Self-paced online course hosting and delivery;
• Enrollment and learner progress tracking;
• Quizzes, assignments, and automated assessment tools;
• Adaptive learning recommendations and personalized course suggestions;
• AI-assisted feedback and learning support;
• Certificates of completion;
• Learner analytics and performance insights;
• Discussion forums and peer learning features.

Features, course availability, and certificate programs may vary. Guroo hosts courses from multiple Course Providers; Guroo does not create all course content.

5. No Guarantee of Learning Outcomes or Credential Recognition

You acknowledge and agree that:

• Guroo provides an AI-enhanced platform for course delivery but does not guarantee learning outcomes or employment prospects;
• Certificates of completion do not guarantee job placement, promotion, or recognition by employers or educational institutions;
• AI-generated feedback and recommendations are supportive tools; learner performance depends on individual effort and engagement;
• Course quality and content are the responsibility of Course Providers, not Guroo;
• Completion of a course does not imply competency or mastery;
• Guroo does not issue, recognize, or validate official academic credentials, degrees, or professional licenses.

6. Use of AI and Adaptive Technology

By using AI-enabled or adaptive learning features, you acknowledge that:

• Learner or user data and learning activities may be processed using automated systems;
• AI recommendations are probabilistic and not deterministic;
• You are responsible for verifying accuracy and appropriateness of AI recommendations before educational use;
• Educational decisions (grading, advancement, intervention) must involve human educator judgment.

7. Content Ownership and Licenses

7.1 Course Provider Content

Course Providers retain ownership of their course materials and Content. Course Providers grant Guroo a non-exclusive license to:

• Host, process, display, and deliver course content via the Platform;
• Generate AI-assisted recommendations and feedback;
• Create anonymized analytics and learning insights;
• Improve Platform functionality.

Course Providers remain responsible for ensuring their Content does not infringe third-party intellectual property rights.

7.2 Learner-Generated Content

Learners retain ownership of their assignments, discussions, and submissions. By submitting content, Learners grant Guroo and Course Providers a license to:

• Grade, evaluate, and provide feedback;
• Display submissions within the course (to instructors and peers as appropriate);
• Use de-identified submissions for product improvement.

7.3 De-identified and Aggregated Data

Guroo may create and use de-identified or aggregated data derived from learner activities and course engagement for product improvement, analytics, educational research, and service optimization, in accordance with applicable law.

8. Privacy and Learner Data

Use of the Platform is subject to our Privacy Policy.

Guroo collects and processes learner data including:

• Course enrollment and progress;
• Quiz and assignment results;
• Learning behavior and engagement metrics;
• Demographic information (for anonymized analytics).

Learners' data will be handled in accordance with applicable privacy laws. Guroo does not share learner data with Course Providers except as necessary for course grading and feedback, unless learners opt into additional data sharing.

Guroo acts as a data controller for learner information and is responsible for safeguarding learner privacy. Course Providers should not collect additional personal data without learner consent.

9. Acceptable Use

All Users agree not to:

• Use the Platform for unlawful or fraudulent purposes;
• Upload malicious, defamatory, or copyright-infringing content;
• Attempt to reverse engineer, hack, or misuse AI models;
• Circumvent security controls, authentication, or paywalls;
• Engage in harassment, discrimination, or abuse;
• Sell, resell, or commercially exploit course content without permission.

Course Providers specifically agree not to:

• Upload content that violates intellectual property rights;
• Provide false credentials or misrepresent qualifications;
• Engage in deceptive course descriptions or misleading marketing.

Learners specifically agree not to:

• Engage in plagiarism or academic dishonesty;
• Share course access or login credentials;
• Attempt to obtain certificates without completing coursework;
• Use course materials for unauthorized commercial purposes.

10. Certificates and Course Completion

10.1 Certificate Issuance

Certificates of completion are issued by Guroo or Course Providers to Learners who meet course completion requirements. Certificates may include:

• Course title and provider name;
• Completion date;
• Skill tags or competency areas (where applicable).

10.2 Certificate Validity and Revocation

Guroo reserves the right to revoke or invalidate certificates if:

• Plagiarism, cheating, or academic dishonesty is discovered;
• These Terms or Course Provider policies are violated;
• Certificate information is found to be fraudulent.

10.3 Certificate Recognition

Certificates are provided "as is" and Guroo makes no guarantee that:

• Employers or educational institutions will recognize or value certificates;
• Certificate holders possess the skills claimed;
• Certificates will result in employment or advancement.

11. Third-Party Services

The Platform may integrate with third-party educational tools or services. Guroo is not responsible for third-party services or content.

12. Suspension and Termination

Guroo may suspend or terminate a User's account if:

• These Terms are violated;
• Fraud, cheating, or intellectual property infringement is detected;
• Required by law or regulation;
• Repeated misuse of the Platform occurs.

Guroo may suspend or remove Course Provider courses if:

• Course content violates intellectual property rights;
• Course materials are defamatory, illegal, or harmful;
• Course Provider breaches the Course Provider Agreement.

Learners may delete their accounts at any time. Upon termination, Guroo may retain de-identified data for analytics and research purposes.

13. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GUROO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GUROO DOES NOT GUARANTEE:

• Learning outcomes or skill acquisition;
• Course quality or Course Provider credentials;
• Recognition or acceptance of certificates by employers or institutions;
• Uninterrupted service availability;
• That AI recommendations will be accurate or appropriate for individual learners.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUROO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, COURSE CONTENT, LOST LEARNING OPPORTUNITY, LOST REVENUE, OR BUSINESS INTERRUPTION, EVEN IF GUROO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GUROO'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

15. Indemnification

Course Providers agree to indemnify and hold harmless Guroo from claims arising from:

• Course content that infringes intellectual property rights;
• Misrepresentation of credentials or course quality;
• Violation of law or Platform policies.

Learners agree to indemnify and hold harmless Guroo from claims arising from:

• Misuse of course materials or credentials;
• Academic dishonesty or course access fraud;
• Violation of intellectual property rights or Platform policies.

All Users agree to indemnify Guroo from any claims arising from personal conduct, disputes with other users, or third-party claims related to their use of the Platform.

16. Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance of updated Terms. Organizations will be notified of material changes.
